1. Acceptance of Terms
By downloading, installing, or using BearHUD ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software. BearHUD is operated as a sole proprietorship under the trade name BearHUD ("we," "us," or "our").
2. Description of Service
BearHUD is a Windows desktop application that provides real-time poker analysis tools including a HUD overlay, pot odds calculator, equity calculator, and related features designed for use on Stake.com and Stake.us poker. The Software reads publicly visible game state data and performs calculations locally on your device.
3. License
Subject to your compliance with these Terms and payment of any applicable fees, BearHUD grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your personal, non-commercial use.
You may not: (a) sublicense, sell, resell, transfer, or distribute the Software; (b) reverse engineer, decompile, or disassemble the Software; (c) use the Software to build a competing product; (d) share your account or license key with others.
4. Free Trial
BearHUD offers a 7-day free trial with full access to all features. No credit card is required to start the trial. After the trial period ends, continued use requires purchase of a subscription or lifetime license. We reserve the right to modify or discontinue the free trial at any time.
5. Payments and Refunds
All purchases are processed through our payment provider. By purchasing a license, you authorize us to charge the applicable fees. Subscription fees are billed on the billing cycle indicated at purchase.
We offer a 7-day money-back guarantee on first-time purchases. To request a refund, contact us within 7 days of purchase. Refunds are not available for renewals or if your account has been terminated for violation of these Terms.
6. User Responsibilities and Prohibited Use
You are solely responsible for ensuring your use of BearHUD complies with the terms of service of any poker platform you use it with. BearHUD reads publicly visible game state and does not automate actions, interact with poker client software, or inject code into any application.
You agree not to use BearHUD: (a) in violation of any applicable law; (b) to engage in cheating, collusion, or fraud on any poker platform; (c) to automate gameplay in any manner; (d) in any way that could expose BearHUD or its users to legal liability.
We make no representation that BearHUD is permitted under the rules of any specific poker platform. Use is at your own risk.
7. Intellectual Property
BearHUD and all associated content, features, and functionality are owned by BearHUD and are protected by United States and international copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC POKER RESULTS FROM USE OF THE SOFTWARE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEARHUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
We may suspend or terminate your access to the Software at any time, with or without cause, with or without notice. Upon termination, your license to use the Software ceases immediately. Sections 7, 8, 9, and 11 survive termination.
11. Governing Law
These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes by email. Your continued use of the Software after changes become effective constitutes acceptance of the revised Terms.
